prezidents izsludina šādu likumu:
Par Latvijas Republikas un Gruzijas konvenciju par nodokļu dubultās uzlikšanas un nodokļu nemaksāšanas novēršanu attiecībā uz ienākuma un kapitāla nodokļiem un tās protokolu
1.pants. 2004.gada 13.oktobrī parakstītā Latvijas Republikas un Gruzijas konvencija par nodokļu dubultās uzlikšanas un nodokļu nemaksāšanas novēršanu attiecībā uz ienākuma un kapitāla nodokļiem (turpmāk — Konvencija) un tās 2004.gada 13.oktobrī parakstītais protokols (turpmāk — Protokols) ar šo likumu tiek pieņemts un apstiprināts.
2.pants. Konvencija un Protokols stājas spēkā Konvencijas 29.pantā noteiktajā laikā un kārtībā, un Ārlietu ministrija par to paziņo laikrakstā "Latvijas Vēstnesis".
3.pants. Likums stājas spēkā nākamajā dienā pēc tā izsludināšanas. Līdz ar likumu izsludināma Konvencija un Protokols latviešu un angļu valodā.
Likums Saeimā pieņemts 2005.gada 3.martā.

LATVIJAS REPUBLIKAS UN GRUZIJAS KONVENCIJA PAR NODOKĻU DUBULTĀS UZLIKŠANAS UN NODOKĻU NEMAKSĀŠANAS NOVĒRŠANU ATTIECĪBĀ UZ IENĀKUMA UN KAPITĀLA NODOKĻIEM

Latvijas Republika un Gruzija, apliecinādamas vēlēšanos noslēgt Konvenciju par nodokļu dubultās uzlikšanas un nodokļu nemaksāšanas novēršanu attiecībā uz ienākuma un kapitāla nodokļiem, vienojas:

1.pants

Personas, uz kurām attiecas Konvencija

Šī Konvencija attiecas uz personām, kas ir vienas vai abu Līgumslēdzēju Valstu rezidenti.

2.pants

Nodokļi, uz kuriem attiecas Konvencija

1. Šī Konvencija attiecas uz ienākuma un kapitāla nodokļiem, kuri tiek uzlikti Līgumslēdzējas Valsts vai tās politiski administratīvās vienības, vai pašvaldības labā neatkarīgi no šo nodokļu uzlikšanas veida.

2. Par ienākuma un kapitāla nodokļiem uzskatāmi visi nodokļi, ar kuriem apliek kopējo ienākumu, kopējo kapitālu vai ienākuma vai kapitāla daļu, tajā skaitā nodokļi, ar kuriem tiek aplikts kapitāla pieaugums no kustamā vai nekustamā īpašuma atsavināšanas, tāpat arī nodokļi no kapitāla vērtības pieauguma.

3. Esošie nodokļi, uz kuriem attiecas Konvencija, konkrēti ir:

a) Gruzijā:

(i) uzņēmumu peļņas nodoklis;

(ii) uzņēmumu īpašuma nodoklis;

(iii) fizisko personu ienākuma nodoklis;

(iv) fizisko personu īpašuma nodoklis;

(turpmāk — Gruzijas nodokļi);

b) Latvijā:

(i) uzņēmumu ienākuma nodoklis;

(ii) iedzīvotāju ienākuma nodoklis;

(iii) nekustamā īpašuma nodoklis;

(turpmāk — Latvijas nodokļi).

4. Šo Konvenciju piemēro arī visiem identiskiem vai pēc būtības līdzīgiem nodokļiem, kuri, papildinot vai aizstājot esošos nodokļus, tiks ieviesti Līgumslēdzējā Valstī pēc šīs Konvencijas parakstīšanas datuma. Abu Līgumslēdzēju Valstu kompetentās iestādes savstarpēji informē viena otru par jebkuriem būtiskiem grozījumiem šo valstu attiecīgajos nodokļu normatīvajos aktos.

3.pants

Vispārīgās definīcijas

1. Ja no konteksta nav izsecināms citādi, tad šajā Konvencijā:

a) termins "Gruzija" nozīmē starptautiski atzīto teritoriju Gruzijas valsts robežās, tajā skaitā sauszemes teritoriju, iekšējos ūdeņus, teritoriālos ūdeņus un gaisa telpu, attiecībā uz ko Gruzija īsteno savas suverenās tiesības, kā arī īpašo ekonomisko zonu un teritoriālajiem ūdeņiem piegulošo kontinentālo šelfu, attiecībā uz kuru Gruzija var īstenot suverēnās tiesības saskaņā ar starptautiskajām tiesībām;

b) termins "Latvija" nozīmē Latvijas Republiku un, lietots ģeogrāfiskā nozīmē, apzīmē Latvijas Republikas teritoriju un jebkuru citu Latvijas Republikas teritoriālajiem ūdeņiem piegulošu teritoriju, kurā saskaņā ar Latvijas normatīvajiem aktiem un starptautiskajām tiesībām var tikt īstenotas Latvijas tiesības uz jūras un zemes dzīlēm un tur esošajiem dabas resursiem;

c) termini "Līgumslēdzēja Valsts" un "otra Līgumslēdzēja Valsts" atkarībā no konteksta nozīmē Latviju vai Gruziju;

d) termins "persona" nozīmē fizisko personu, sabiedrību un jebkuru citu personu apvienību;

e) termins "sabiedrība" nozīmē jebkuru korporatīvu personu apvienību vai jebkuru vienību, kas nodokļu uzlikšanas nolūkos tiek uzskatīta par korporatīvu personu apvienību;

f) jēdzieni "Līgumslēdzējas Valsts uzņēmums" un "otras Līgumslēdzējas Valsts uzņēmums" attiecīgi nozīmē uzņēmumu, ko vada Līgumslēdzējas Valsts rezidents, un uzņēmumu, ko vada otras Līgumslēdzējas Valsts rezidents;

g) termins "starptautiskā satiksme" nozīmē jebkurus pārvadājumus ar jūras vai gaisa transportu, ko veic Līgumslēdzējas Valsts uzņēmums, izņemot tos gadījumus, kad jūras vai gaisa transportlīdzekļi pārvietojas vienīgi otras Līgumslēdzējas Valsts iekšienē;

h) termins "kompetentā iestāde" nozīmē:

(i) Gruzijā — Finanšu ministriju vai tās pilnvaroto pārstāvi;

(ii) Latvijā — Finanšu ministriju vai tās pilnvaroto pārstāvi;

i) termins "pilsonis" nozīmē:

(i) ikvienu fizisku personu, kurai ir Līgumslēdzējas Valsts pilsonība;

(ii) ikvienu juridisku personu, līgumsabiedrību vai asociāciju, kuru statuss izriet no spēkā esošajiem Līgumslēdzējas Valsts normatīvajiem aktiem.

2. Līgumslēdzējām Valstīm jebkurā laikā piemērojot šo Konvenciju, visiem tajā nedefinētajiem terminiem ir tāda nozīme, kādā tie attiecīgās Līgumslēdzējas Valsts normatīvajos aktos konkrētajā laikā lietoti sakarā ar nodokļiem, uz kuriem attiecas Konvencija, ja vien no konteksta nav izsecināms citādi, turklāt šīs valsts attiecīgajos nodokļu normatīvajos aktos paredzētā nozīme prevalē pār citos šīs valsts normatīvajos aktos paredzēto nozīmi.

4.pants

Rezidents

1. Šajā Konvencijā termins "Līgumslēdzējas Valsts rezidents" nozīmē jebkuru personu, kas saskaņā ar šīs valsts normatīvajiem aktiem ir pakļauta aplikšanai ar nodokļiem, pamatojoties uz tās pastāvīgo dzīvesvietu, rezidenci, vadības atrašanās vietu, inkorporācijas (reģistrācijas) vietu vai atbilstoši jebkuram citam līdzīgam kritērijam, un ietver arī šo valsti un jebkuru tās politiski administratīvo vienību vai pašvaldību. Tomēr šis termins neietver tās personas, kurām šajā valstī tiek uzlikti nodokļi tikai attiecībā uz to ienākumiem no šajā valstī esošajiem peļņas avotiem vai tur izvietoto kapitālu.

2. Ja saskaņā ar 1.daļas noteikumiem fiziskā persona ir abu Līgumslēdzēju Valstu rezidents, tās statuss nosakāms šādi:

a) šī persona tiks uzskatīta tikai par tās valsts rezidentu, kurā atrodas tās pastāvīgā dzīvesvieta; ja tās pastāvīgā dzīvesvieta ir abās valstīs, šī persona tiks uzskatīta tikai par tās valsts rezidentu, ar kuru tai ir ciešākas personiskās un ekonomiskās attiecības (vitālo interešu centrs);

b) ja nav iespējams noteikt valsti, kurā šai personai ir vitālo interešu centrs, vai arī tai nav pastāvīgas dzīvesvietas nevienā no abām valstīm, šī persona tiks uzskatīta tikai par tās valsts rezidentu, kas ir tās ierastā mītnes zeme;

c) ja šai personai ierastā mītnes zeme ir abas valstis vai nav neviena no tām, tā tiks uzskatīta tikai par tās valsts rezidentu, kuras pilsonis ir šī persona;

d) ja šī persona ir abu valstu pilsonis vai nav nevienas šīs valsts pilsonis, Līgumslēdzēju Valstu kompetentās iestādes izšķir šo jautājumu, savstarpēji vienojoties.

3. Ja saskaņā ar 1.daļas noteikumiem persona, kas nav fiziskā persona, ir abu Līgumslēdzēju Valstu rezidents, Līgumslēdzēju Valstu kompetentās iestādes cenšas atrisināt šo jautājumu savstarpējas vienošanās ceļā. Kamēr vienošanās nav panākta, šī persona nav tiesīga pieprasīt jebkurus Konvencijā noteiktos atvieglojumus.

5.pants

Pastāvīgā pārstāvniecība

1. Šajā Konvencijā termins "pastāvīgā pārstāvniecība" nozīmē noteiktu vietu, kur uzņēmums pilnīgi vai daļēji veic uzņēmējdarbību.

2. Termins "pastāvīgā pārstāvniecība" ietver:

a) uzņēmuma vadības atrašanās vietu;

b) filiāli;

c) kantori;

d) fabriku;

e) darbnīcu; un

f) šahtu, naftas vai gāzes ieguves vietu, akmeņlauztuves vai jebkuru citu dabas resursu ieguves vietu.

3. Būvlaukums, montāžas vai instalācijas projekts tiks uzskatīts par pastāvīgo pārstāvniecību tikai tad, ja būvdarbi vai projekts notiek ilgāk par sešiem mēnešiem.

4. Neatkarīgi no šī panta iepriekšējo daļu noteikumiem termins "pastāvīgā pārstāvniecība" neietver:

a) ēku un iekārtu izmantošanu tikai un vienīgi uzņēmumam piederošo preču vai izstrādājumu uzglabāšanai, demonstrēšanai vai piegādēm;

b) uzņēmumam piederošos preču vai izstrādājumu krājumus, kas paredzēti tikai un vienīgi uzglabāšanai, demonstrēšanai vai piegādēm;

c) uzņēmumam piederošos preču vai izstrādājumu krājumus, kas paredzēti tikai un vienīgi pārstrādei citā uzņēmumā;

d) noteiktu darbības vietu, kas paredzēta tikai un vienīgi preču vai izstrādājumu iepirkšanai vai informācijas vākšanai uzņēmuma vajadzībām;

e) noteiktu darbības vietu, kas paredzēta tikai un vienīgi tam, lai veiktu uzņēmuma labā jebkuru citu sagatavošanas vai palīgdarbību;

f) noteiktu darbības vietu, kas paredzēta tikai un vienīgi tam, lai nodarbotos ar a) līdz e) punktā minētajām darbībām jebkādā to kombinācijā, ja kopējam darbības veidam ir sagatavošanas vai palīgdarbības raksturs.

5. Neatkarīgi no 1. un 2.daļas noteikumiem, ja persona, kas nav 6.daļā minētais neatkarīga statusa aģents, darbojas uzņēmuma labā un tai ir piešķirtas pilnvaras Līgumslēdzējā Valstī noslēgt līgumus uzņēmuma vārdā, un tā pastāvīgi izmanto šīs pilnvaras, tad attiecībā uz visām darbībām, ko šāda persona veic uzņēmuma labā, tiek uzskatīts, ka uzņēmumam ir pastāvīgā pārstāvniecība attiecīgajā valstī, izņemot, ja šāda persona veic tikai 4.daļā paredzētās darbības, kuras veicot noteiktā darbības vietā, šāda noteikta darbības vieta saskaņā ar minēto daļu netiek uzskatīta par pastāvīgo pārstāvniecību.

6. Tiks uzskatīts, ka uzņēmumam nav pastāvīgās pārstāvniecības Līgumslēdzējā Valstī, ja uzņēmums veic uzņēmējdarbību šajā valstī, vienīgi izmantojot brokeri, tirdzniecības aģentu vai jebkuru citu neatkarīga statusa aģentu, ar nosacījumu, ka šīs personas veic savu parasto uzņēmējdarbību.

7. Fakts, ka sabiedrība — Līgumslēdzējas Valsts rezidents kontrolē sabiedrību, kura ir otras Līgumslēdzējas Valsts rezidents vai kura veic uzņēmējdarbību šajā otrā valstī, izmantojot pastāvīgo pārstāvniecību vai kādā citā veidā, vai ir pakļauta šādas sabiedrības kontrolei, pats par sevi nepārvērš vienu no šīm sabiedrībām par otras sabiedrības pastāvīgo pārstāvniecību.

6.pants

Ienākums no nekustamā īpašuma

1. Ienākumu, ko Līgumslēdzējas Valsts rezidents gūst no nekustamā īpašuma (arī ienākumu no lauksaimniecības un mežkopības), kas atrodas otrā Līgumslēdzējā Valstī, var aplikt ar nodokļiem šajā otrā valstī.

2. Terminam "nekustamais īpašums" būs tāda nozīme, kāda tam ir tās Līgumslēdzējas Valsts normatīvajos aktos, kurā atrodas minētais īpašums. Jebkurā gadījumā šis termins ietver īpašumu, kas ir piederīgs nekustamajam īpašumam, mājlopus un iekārtas, ko izmanto lauksaimniecībā un mežkopībā, tiesības, uz kurām attiecas zemes īpašuma tiesību vispārīgie noteikumi, jebkuras nekustamā īpašuma pirkšanas tiesību izmantošanas tiesības vai līdzīgas tiesības iegūt nekustamo īpašumu, nekustamā īpašuma lietojumu un tiesības uz mainīgiem vai nemainīgiem maksājumiem par tiesībām izmantot derīgos izrakteņus, dabas atradnes un citus dabas resursus vai par to izmantošanu. Par nekustamo īpašumu netiks uzskatīti jūras un gaisa transportlīdzekļi.

3. 1.daļas noteikumi tiks piemēroti attiecībā uz ienākumu no nekustamā īpašuma tiešas izmantošanas, izīrēšanas vai izmantošanas citā veidā, kā arī attiecībā uz ienākumu no nekustamā īpašuma atsavināšanas.

4. Ja sabiedrības akcijas vai citas korporatīvās tiesības dod to īpašniekam tiesības uz sabiedrības nekustamā īpašuma izmantošanu, tad ienākumu no šo tiesību tiešas izmantošanas, iznomāšanas vai lietošanas jebkādā citā veidā var aplikt ar nodokļiem tajā Līgumslēdzējā Valstī, kurā atrodas šis nekustamais īpašums.

5. 1., 3. un 4.daļas noteikumi tiks piemēroti arī attiecībā uz ienākumu no uzņēmuma nekustamā īpašuma, kā arī attiecībā uz ienākumu no nekustamā īpašuma, ko izmanto neatkarīgu individuālu pakalpojumu sniegšanai.

7.pants

Uzņēmējdarbības peļņa

1. Līgumslēdzējas Valsts uzņēmuma peļņa tiks aplikta ar nodokļiem tikai šajā valstī, izņemot, ja uzņēmums veic uzņēmējdarbību otrā Līgumslēdzējā Valstī, izmantojot tur esošo pastāvīgo pārstāvniecību. Ja uzņēmums veic uzņēmējdarbību minētajā veidā, uzņēmuma peļņu var aplikt ar nodokļiem otrā valstī, bet tikai to peļņas daļu, ko var attiecināt uz šo pastāvīgo pārstāvniecību.

2. Saskaņā ar 3.daļas noteikumiem, ja Līgumslēdzējas Valsts uzņēmums veic uzņēmējdarbību otrā Līgumslēdzējā Valstī, izmantojot tur esošo pastāvīgo pārstāvniecību, katrā Līgumslēdzējā Valstī uz šo pastāvīgo pārstāvniecību attiecināms tāds peļņas daudzums, kādu tā varētu gūt, ja tā būtu nodalīts un atsevišķs uzņēmums, kas veic tādu pašu vai līdzīgu uzņēmējdarbību tādos pašos vai līdzīgos apstākļos un pilnīgi neatkarīgi veiktu darījumus ar uzņēmumu, kura pastāvīgā pārstāvniecība tā ir.

3. Nosakot pastāvīgās pārstāvniecības peļņu Līgumslēdzējā Valstī, tiks atļauts atskaitīt izdevumus, kas radušies pastāvīgās pārstāvniecības vajadzībām tās atrašanās valstī vai citur, tajā skaitā operatīvos un vispārējos administratīvos izdevumus.

4. Uz pastāvīgo pārstāvniecību netiks attiecināta peļņa tikai tāpēc vien, ka tā ir iegādājusies preces vai izstrādājumus uzņēmuma, kura pastāvīgā pārstāvniecība tā ir, vajadzībām.

5. Lai piemērotu iepriekšējo daļu noteikumus, peļņu, ko attiecina uz pastāvīgo pārstāvniecību, katru gadu nosaka ar vienu un to pašu metodi, izņemot, ja ir pietiekams iemesls rīkoties citādi.

6. Ja peļņā ir ietverti citos šīs Konvencijas pantos atsevišķi aplūkotie ienākuma veidi, šī panta noteikumi neietekmēs šo citu pantu noteikumus.

8.pants

Kuģniecība un gaisa transports

1.Peļņa no jūras vai gaisa transportlīdzekļu izmantošanas starptautiskajā satiksmē tiks aplikta ar nodokļiem tikai tajā valstī, kur atrodas uzņēmuma faktiskās vadības vieta.

2.1.daļas noteikumi attiecas arī uz peļņu, kas gūta no piedalīšanās pulā, kopējā uzņēmējdarbībā vai starptautiskās satiksmes transporta aģentūrā.

9.pants

Saistītie uzņēmumi

1. Ja:

a) Līgumslēdzējas Valsts uzņēmums tieši vai netieši piedalās otras Līgumslēdzējas Valsts uzņēmuma vadībā vai kontrolē vai tam pieder daļa no šī uzņēmuma kapitāla, vai

b) vienas un tās pašas personas tieši vai netieši piedalās Līgumslēdzējas Valsts uzņēmuma vadībā vai kontrolē vai tām pieder daļa kapitāla šajā uzņēmumā un vienlaikus tās tieši vai netieši piedalās otras Līgumslēdzējas Valsts uzņēmuma vadībā vai kontrolē vai tām pieder daļa otras valsts uzņēmuma kapitāla,

un jebkurā no šiem gadījumiem šo divu uzņēmumu komerciālās un finanšu attiecības tiek veidotas vai nodibinātas pēc noteikumiem, kas atšķiras no tiem noteikumiem, kas būtu spēkā starp diviem neatkarīgiem (savstarpēji nesaistītiem) uzņēmumiem, tad jebkura peļņa, kas veidotos vienam no uzņēmumiem, bet iepriekšminēto noteikumu ietekmē nav izveidojusies, var tikt iekļauta šī uzņēmuma peļņā un atbilstoši aplikta ar nodokļiem.

2. Ja Līgumslēdzēja Valsts iekļauj šīs valsts uzņēmuma peļņā (un attiecīgi apliek ar nodokļiem) to peļņu, attiecībā uz kuru otrā valstī otras Līgumslēdzējas Valsts uzņēmums ir ticis aplikts ar nodokļiem, un šī iekļautā peļņa ir tāda peļņa, kuru būtu guvis pirmās Līgumslēdzējas Valsts uzņēmums, ja attiecības starp šiem diviem uzņēmumiem būtu bijušas tādas, kādas pastāvētu starp diviem neatkarīgiem uzņēmumiem, tad otrai valstij ir jāizdara atbilstošas korektīvas attiecībā uz nodokļa lielumu, ar kuru tiek aplikta šī peļņa otrā valstī. Nosakot šīs korektīvas, jāņem vērā citi šīs Konvencijas noteikumi un, ja nepieciešams, jārīko Līgumslēdzēju Valstu kompetento iestāžu konsultācijas.

10.pants

Dividendes

1. Dividendes, ko sabiedrība — Līgumslēdzējas Valsts rezidents izmaksā otras Līgumslēdzējas Valsts rezidentam, var aplikt ar nodokļiem šajā otrā valstī.

2. Tomēr šīs dividendes var arī aplikt ar nodokļiem atbilstoši attiecīgās valsts normatīvajiem aktiem tajā Līgumslēdzējā Valstī, kuras rezidents ir sabiedrība, kas izmaksā dividendes, bet, ja šo dividenžu īstenais īpašnieks ir otras Līgumslēdzējas Valsts rezidents, nodoklis nedrīkst pārsniegt:

a) 5 procentus no dividenžu kopapjoma, ja dividenžu īstenais īpašnieks ir sabiedrība (kas nav līgumsabiedrība), kura tieši pārvalda vismaz 25 procentus tās sabiedrības kapitāla, kura izmaksā dividendes un kuras ieguldījums nav mazāks par 75 000 (septiņdesmit pieci tūkstoši) ASV dolāru;

b) 10 procentus no dividenžu kopapjoma visos pārējos gadījumos.

3. Termins "dividendes" šajā pantā nozīmē ienākumu no akcijām vai citām tādām tiesībām piedalīties peļņas sadalē, kuras nav parāda prasības, kā arī ienākumu no citām tiesībām, kas saskaņā ar tās valsts normatīvajiem aktiem, kuras rezidents ir sabiedrība, kas veic šo peļņas sadali, ir pakļauts tādai pašai aplikšanai ar nodokļiem kā ienākums no akcijām.

4. 1. un 2.daļas noteikumus nepiemēro, ja dividenžu īstenais īpašnieks, kurš ir Līgumslēdzējas Valsts rezidents, veic uzņēmējdarbību otrā Līgumslēdzējā Valstī, kuras rezidents ir dividendes izmaksājošā sabiedrība, izmantojot tur esošo pastāvīgo pārstāvniecību, vai arī sniedz neatkarīgus individuālos pakalpojumus šajā otrā valstī, izmantojot tajā izvietoto pastāvīgo bāzi, un ja līdzdalība, par kuru tiek izmaksātas dividendes, ir faktiski saistīta ar šo pastāvīgo pārstāvniecību vai pastāvīgo bāzi. Šajā gadījumā atkarībā no apstākļiem piemēro 7. vai 14.panta noteikumus.

5. Ja sabiedrība — Līgumslēdzējas Valsts rezidents gūst peļņu vai ienākumus otrā Līgumslēdzējā Valstī, šī otra valsts nedrīkst nedz uzlikt jebkādus nodokļus šīs sabiedrības izmaksātajām dividendēm, izņemot, ja dividendes tiek izmaksātas otras valsts rezidentam vai ja līdzdalība, par kuru tiek izmaksātas dividendes, ir faktiski saistīta ar pastāvīgo pārstāvniecību vai pastāvīgo bāzi šajā otrā valstī; nedz arī uzlikt nesadalītās peļņas nodokli sabiedrības nesadalītajai peļņai pat tad, ja izmaksātās dividendes vai nesadalītā peļņa pilnīgi vai daļēji sastāv no otrā valstī gūtās peļņas vai ienākuma.

11.pants

Procenti

1. Procentus, kas rodas Līgumslēdzējā Valstī un tiek izmaksāti otras Līgumslēdzējas Valsts rezidentam, var aplikt ar nodokļiem šajā otrā valstī.

2. Tomēr šos procentus var arī aplikt ar nodokļiem atbilstoši attiecīgās valsts normatīvajiem aktiem tajā Līgumslēdzējā Valstī, kurā tie rodas, bet, ja šo procentu īstenais īpašnieks ir otras Līgumslēdzējas Valsts rezidents, tad nodoklis nedrīkst pārsniegt 10 procentu no šo procentu kopapjoma.

3. Neatkarīgi no 2.daļas noteikumiem procenti, kas rodas vienā Līgumslēdzējā Valstī un kuru saņēmējs un īstenais īpašnieks ir otras Līgumslēdzējas Valsts valdība, tajā skaitā politiski administratīvās vienības un pašvaldības, centrālā banka vai jebkura cita šai valdībai pilnīgi piederoša finanšu institūcija, kā arī procenti, kas saņemti par otras valsts valdības garantētajiem aizdevumiem, netiks aplikti ar nodokļiem pirmajā minētajā valstī

4. Šajā pantā termins "procenti" nozīmē ienākumu no jebkāda veida parāda prasībām neatkarīgi no tā, vai tās ir vai nav nodrošinātas ar hipotēku un ar vai bez tiesībām piedalīties parādnieka peļņas sadalē, un it īpaši ienākumu no valdības vērtspapīriem un ienākumu no obligācijām vai parādzīmēm, tajā skaitā prēmijas un balvas, kas piederīgas šiem vērtspapīriem, obligācijām vai parādzīmēm. Termins "procenti" neietver nevienu ienākumu, kas var tikt uzskatīts par dividendēm saskaņā ar 10.panta noteikumiem. Soda naudas, kas saņemtas par laikā neveiktajiem maksājumiem, netiks uzskatītas par procentiem šī panta noteikumu piemērošanai.

5. 1., 2. un 3.daļas noteikumi netiks piemēroti, ja procentu īstenais īpašnieks, kas ir Līgumslēdzējas Valsts rezidents, veic uzņēmējdarbību otrā Līgumslēdzējā Valstī, kurā šie procenti rodas, izmantojot tur esošo pastāvīgo pārstāvniecību, vai arī sniedz neatkarīgus individuālos pakalpojumus šajā otrā valstī, izmantojot tajā izvietoto pastāvīgo bāzi, un parāda prasības, uz kuru pamata tiek maksāti procenti, ir faktiski saistītas ar šo pastāvīgo pārstāvniecību vai pastāvīgo bāzi. Šajā gadījumā atkarībā no apstākļiem piemēro 7. vai 14.panta noteikumus.

6. Ja procentu maksātājs ir Līgumslēdzējas Valsts rezidents, tiks uzskatīts, ka procenti rodas šajā valstī. Tomēr, ja persona, kas izmaksā procentus neatkarīgi no tā, vai šī persona ir Līgumslēdzējas Valsts rezidents vai nav, izmanto Līgumslēdzējā Valstī esošo pastāvīgo pārstāvniecību vai tur izvietoto pastāvīgo bāzi, sakarā ar ko radušās parādu saistības, par kurām tiek maksāti procenti, un šos procentus izmaksā (sedz) pastāvīgā pārstāvniecība vai pastāvīgā bāze, tiks uzskatīts, ka šie procenti rodas tajā valstī, kurā atrodas pastāvīgā pārstāvniecība vai pastāvīgā bāze.

7. Ja, pamatojoties uz īpašām attiecībām starp procentu maksātāju un īsteno īpašnieku vai starp viņiem abiem un kādu citu personu, procentu summa, kas attiecas uz parāda prasībām, uz kuru pamata tā tiek izmaksāta, pārsniedz summu, par kādu būtu varējuši vienoties procentu maksātājs un procentu īstenais īpašnieks, ja starp viņiem nebūtu minēto īpašo attiecību, tad šī panta noteikumi tiks piemēroti tikai attiecībā uz pēdējo minēto summu. Atlikusī maksājumu daļa apliekama ar nodokļiem atbilstoši katras Līgumslēdzējas Valsts normatīvajiem aktiem ar nosacījumu, ka tiek ievēroti pārējie šīs Konvencijas noteikumi.

12.pants

Autoratlīdzība

1. Autoratlīdzību, kas rodas Līgumslēdzējā Valstī un ko izmaksā otras Līgumslēdzējas Valsts rezidentam, var aplikt ar nodokļiem šajā otrā valstī.

2. Tomēr šo autoratlīdzību var arī aplikt ar nodokļiem atbilstoši attiecīgās valsts normatīvajiem aktiem tajā Līgumslēdzējā Valstī, kurā tā rodas, bet, ja autoratlīdzības īstenais īpašnieks ir otras Līgumslēdzējas Valsts rezidents, nodoklis nedrīkst pārsniegt 10 procentu no autoratlīdzības kopapjoma.

3. Termins "autoratlīdzība" šajā pantā nozīmē jebkāda veida maksājumus, ko saņem kā kompensāciju par jebkuru autortiesību izmantošanu vai par tiesībām izmantot jebkuras autortiesības uz literāru, mākslas vai zinātnisku darbu, tajā skaitā kinofilmas un filmas vai ierakstus radio vai televīzijas pārraidēm, par jebkura patenta, firmas zīmes, dizaina vai modeļa, plāna, slepenas formulas vai procesa vai ražošanas, komerciālo vai zinātnisko iekārtu izmantošanu vai par tiesībām tās izmantot, vai par informāciju attiecībā uz ražošanas, komerciālo vai zinātnisko pieredzi.

4. 1. un 2.daļas noteikumi netiks piemēroti, ja autoratlīdzības īstenais īpašnieks, kas ir Līgumslēdzējas Valsts rezidents, veic uzņēmējdarbību otrā Līgumslēdzējā Valstī, kurā rodas autoratlīdzība, izmantojot tur esošo pastāvīgo pārstāvniecību, vai arī sniedz neatkarīgus individuālos pakalpojumus šajā otrā valstī, izmantojot tajā izvietoto pastāvīgo bāzi, un ja tiesības vai īpašums, par kuriem tiek maksāta autor­atlīdzība, ir faktiski saistīti ar šo pastāvīgo pārstāvniecību vai pastāvīgo bāzi. Šajā gadījumā atkarībā no apstākļiem piemēro 7. vai 14.panta noteikumus.

5. Ja autoratlīdzības maksātājs ir Līgumslēdzējas Valsts rezidents, tiks uzskatīts, ka autoratlīdzība rodas šajā valstī. Tomēr, ja persona, kas izmaksā autoratlīdzību neatkarīgi no tā, vai šī persona ir Līgumslēdzējas Valsts rezidents vai nav, izmanto Līgumslēdzējā Valstī esošo pastāvīgo pārstāvniecību vai tur izvietoto pastāvīgo bāzi, sakarā ar kuru radušās saistības izmaksāt autoratlīdzību, un šo autoratlīdzību izmaksā (sedz) pastāvīgā pārstāvniecība vai pastāvīgā bāze, tiks uzskatīts, ka autoratlīdzība rodas tajā valstī, kurā atrodas pastāvīgā pārstāvniecība vai pastāvīgā bāze.

6. Ja, pamatojoties uz īpašām attiecībām starp autoratlīdzības maksātāju un autoratlīdzības īsteno īpašnieku vai starp viņiem abiem un kādu citu personu, autor­atlīdzības summa, kas attiecas uz izmantošanu, tiesībām vai informāciju, par kuru tā tiek maksāta, pārsniedz autoratlīdzības summu, par kādu būtu varējuši vienoties maksātājs un īstenais īpašnieks, ja starp viņiem nebūtu minēto īpašo attiecību, tad šī panta noteikumi tiks piemēroti tikai attiecībā uz pēdējo minēto summu. Šajā gadījumā maksājuma daļa, kas pārsniedz šo summu, tiks aplikta ar nodokļiem atbilstoši katras Līgumslēdzējas Valsts normatīvajiem aktiem ar nosacījumu, ka tiek ievēroti pārējie šīs Konvencijas noteikumi.

13.pants

Kapitāla pieaugums

1. Kapitāla pieaugumu, ko Līgumslēdzējas Valsts rezidents gūst, atsavinot 6.pantā minēto otrā Līgumslēdzējā Valstī esošo nekustamo īpašumu vai atsavinot tādas sabiedrības akcijas, kuras īpašums galvenokārt sastāv no šāda nekustamā īpašuma, var aplikt ar nodokļiem šajā otrā valstī.

2. Kapitāla pieaugumu, kas gūts par kustamā īpašuma, kas ir Līgumslēdzējas Valsts uzņēmuma pastāvīgās pārstāvniecības otrā Līgumslēdzējā Valstī uzņēmējdarbībā izmantojamā īpašuma daļa, atsavināšanu vai par kustamā īpašuma, kas ir piederīgs Līgumslēdzējas Valsts rezidenta pastāvīgajai bāzei otrā Līgumslēdzējā Valstī, kura izveidota neatkarīgo individuālo pakalpojumu sniegšanai, atsavināšanu, tajā skaitā kapitāla pieaugumu no šādas pastāvīgās pārstāvniecības (atsevišķi vai kopā ar visu uzņēmumu) atsavināšanas vai šādas pastāvīgās bāzes atsavināšanas, var aplikt ar nodokļiem otrā Līgumslēdzējā Valstī.

3. Kapitāla pieaugums, kas gūts par starptautiskajā satiksmē izmantoto jūras vai gaisa transportlīdzekļu atsavināšanu vai par šo jūras vai gaisa transportlīdzekļu izmantošanai piederīgā kustamā īpašuma atsavināšanu, tiks aplikts ar nodokļiem tikai tajā valstī, kur atrodas uzņēmuma faktiskās vadības vieta.

4. Kapitāla pieaugums, kas gūts, atsavinot jebkuru tādu īpašumu, kurš atšķiras no 1., 2. un 3.daļā minētā īpašuma, tiks aplikts ar nodokļiem tikai tajā Līgumslēdzējā Valstī, kuras rezidents ir šī īpašuma atsavinātājs.

14.pants

Neatkarīgie individuālie pakalpojumi

1. Līgumslēdzējas Valsts rezidenta — fiziskas personas ienākumi, kas gūti, sniedzot profesionālus pakalpojumus vai veicot cita veida neatkarīgu darbību, tiks aplikti ar nodokļiem tikai šajā valstī, izņemot, ja šī persona savas darbības vajadzībām izmanto tai regulāri pieejamu pastāvīgo bāzi otrā valstī. Ja tiek izmantota šāda pastāvīgā bāze, ienākumus var aplikt ar nodokļiem arī otrā valstī, bet tikai tik lielā mērā, kādā tie ir attiecināmi uz šo pastāvīgo bāzi. Šī panta piemērošanai, ja Līgumslēdzējas Valsts rezidents — fiziskā persona uzturas otrā Līgumslēdzējā Valstī laika posmu vai laika posmus, kuri kopumā pārsniedz 183 dienas jebkurā 12 mēnešu periodā, kas sākas vai beidzas attiecīgajā nodokļu gadā, tiks uzskatīts, ka šī persona izmanto regulāri pieejamu pastāvīgo bāzi otrā Līgumslēdzējā Valstī un ienākums, kas gūts par otrā valstī veiktajām iepriekšminētajām darbībām, tiks attiecināts uz šo pastāvīgo bāzi.

2. Termins "profesionālie pakalpojumi" ietver neatkarīgu zinātnisko, literāro, māksliniecisko, izglītojošo vai pedagoģisko darbību, kā arī ārsta, jurista, inženiera, arhitekta, zobārsta un grāmatveža neatkarīgu darbību.

15.pants

Atkarīgie individuālie pakalpojumi

1. Ievērojot 16., 18. un 19.panta noteikumus darba alga, samaksa un cita līdzīga veida atlīdzība, ko Līgumslēdzējas Valsts rezidents saņem par algotu darbu, tiks aplikta ar nodokļiem tikai šajā valstī, ja vien algotais darbs netiek veikts otrā Līgumslēdzējā Valstī. Ja algotais darbs tiek veikts otrā Līgumslēdzējā Valstī, par to saņemto atlīdzību var aplikt ar nodokļiem šajā otrā valstī.

2. Neatkarīgi no 1.daļas noteikumiem atlīdzība, kuru Līgumslēdzējas Valsts rezidents saņem par algotu darbu, kas tiek veikts otrā Līgumslēdzējā Valstī, tiks aplikta ar nodokļiem tikai pirmajā minētajā valstī, ja:

a) atlīdzības saņēmējs ir atradies otrā valstī laika posmu vai laika posmus, kas kopumā nepārsniedz 183 dienas jebkurā 12 mēnešu periodā, kas sākas vai beidzas attiecīgajā nodokļu gadā; un

b) atlīdzību maksā darba devējs, kas nav otras valsts rezidents, vai cita persona tāda darba devēja vārdā; un

c) atlīdzību neizmaksā (nesedz) pastāvīgā pārstāvniecība vai pastāvīgā bāze, kuru darba devējs izmanto otrā valstī.

3. Neatkarīgi no šī panta iepriekšējo daļu noteikumiem atlīdzību, ko saņem par algotu darbu, kas tiek veikts uz starptautiskajā satiksmē izmantota jūras vai gaisa transportlīdzekļa, var aplikt ar nodokļiem tajā Līgumslēdzējā Valstī, kur atrodas uzņēmuma faktiskās vadības vieta.

16.pants

Direktoru atalgojums

Direktoru atalgojumu un citu līdzīgu atlīdzību, ko saņem Līgumslēdzējas Valsts rezidents kā direktoru padomes vai citas līdzīgas institūcijas loceklis sabiedrībā, kas ir otras Līgumslēdzējas Valsts rezidents, var aplikt ar nodokļiem šajā otrā valstī.

17.pants

Mākslinieki un sportisti

1. Neatkarīgi no 14. un 15.panta noteikumiem ienākumu, ko gūst Līgumslēdzējas Valsts rezidents kā izpildītājmākslinieks, piemēram, kā teātra, kino, radio vai televīzijas aktieris, mūziķis vai arī kā sportists par savu individuālo darbību otrā Līgumslēdzējā Valstī, var aplikt ar nodokļiem šajā otrā valstī.

2. Ja mākslinieka vai sportista ienākums par viņa individuālo darbību attiecīgajā jomā tiek maksāts nevis pašam māksliniekam vai sportistam, bet citai personai, šo ienākumu neatkarīgi no 7., 14. un 15.panta noteikumiem var aplikt ar nodokļiem tajā Līgumslēdzējā Valstī, kurā tiek veikta izpildītājmākslinieka vai sportista darbība.

18. pants

Pensijas

Ievērojot 19.panta 2.daļas noteikumus pensija un cita līdzīga atlīdzība, ko saņem Līgumslēdzējas Valsts rezidents par iepriekš veikto algoto darbu, tiks aplikta ar nodokļiem tikai šajā valstī.

19.pants

Valsts dienests

1. a) Darba samaksa, izpeļņa un cita līdzīga atlīdzība, kas nav pensija un kuru fiziskai personai izmaksā Līgumslēdzēja Valsts, politiski administratīvā vienība vai pašvaldība par šai valstij, vienībai vai paš­valdībai sniegtajiem pakalpojumiem, tiks aplikta ar nodokļiem tikai šajā valstī.

b) Tomēr šī darba samaksa, izpeļņa un cita līdzīga atlīdzība tiks aplikta ar nodokļiem tikai otrā Līgumslēdzējā Valstī, ja pakalpojumi ir sniegti šajā otrā valstī un šī fiziskā persona ir tāds šīs valsts rezidents, kas:

(i) ir šīs valsts pilsonis; vai

(ii) nav kļuvis par šīs valsts rezidentu tikai un vienīgi, lai sniegtu šos pakalpojumus.

2. a) Jebkura pensija, ko fiziskai personai izmaksā Līgumslēdzēja Valsts, politiski administratīvā vienība vai pašvaldība vai kas tiek izmaksāta no to izveidotajiem fondiem par pakalpojumiem, ko šī persona sniegusi šai valstij, vienībai vai pašvaldībai, tiks aplikta ar nodokļiem tikai šajā valstī.

b) Tomēr šī pensija tiks aplikta ar nodokļiem tikai otrā Līgumslēdzējā Valstī, ja šī fiziskā persona ir šīs otras valsts rezidents un pilsonis.

3. Šīs Konvencijas 15., 16., 17. un 18.panta noteikumus piemēro darba samaksai, izpeļņai, citai līdzīgai atlīdzībai un pensijai, kuru izmaksā par pakalpojumiem, kas sniegti sakarā ar Līgumslēdzējas Valsts, politiski administratīvās vienības vai pašvaldības veikto uzņēmējdarbību.

20. pants

Studenti

Students, māceklis vai stažieris, kas ieradies Līgumslēdzējā Valstī vienīgi, lai studētu vai stažētos, un kurš ir vai tieši pirms ierašanās bija otras Līgumslēdzējas Valsts rezidents, pirmajā minētajā valstī tiks atbrīvots no aplikšanas ar nodokļiem attiecībā uz maksājumiem, kurus šī persona saņem uzturēšanās, studiju vai stažēšanās vajadzībām no ārpus pirmās minētās valsts esošiem avotiem.

21.pants

Darbība šelfa zonā

1. Šī panta noteikumus piemēro neatkarīgi no šīs Konvencijas 4. līdz 20.panta noteikumiem.

2. Šajā pantā termins "darbība šelfa zonā" nozīmē jebkuru darbību Līgumslēdzējas Valsts šelfa zonā, kas saistīta ar jūras un zemes dzīļu un tur esošo dabas resursu pētīšanu vai izmantošanu.

3. Personas — Līgumslēdzējas Valsts rezidenta darbība šelfa zonā, kas tiek veikta otras Līgumslēdzējas Valsts šelfa zonā, saskaņā ar 4.daļas noteikumiem tiks uzskatīta par tādu uzņēmējdarbību, kas tiek veikta otrā Līgumslēdzējā Valstī, izmantojot tur esošo pastāvīgo pārstāvniecību vai pastāvīgo bāzi.

4. 3.daļas noteikumus nepiemēros, ja darbība šelfa zonā tiks veikta laika posmā vai laika posmos, kas kopumā nepārsniedz 30 dienas jebkurā divpadsmit mēnešu periodā. Šīs daļas piemērošanai:

a) darbība šelfa zonā, ko veic persona, kas ir saistīta ar citu personu, tiks uzskatīta par šīs citas personas veiktu darbību, ja šī darbība pēc būtības ir tāda pati kā tā, ko veic pirmā minētā persona, izņemot pirmās personas darbību, kas tiek veikta vienlaicīgi ar otrās personas veikto darbību;

b) persona tiks uzskatīta par saistītu ar citu personu, ja viena no tām tieši vai netieši kontrolē otru vai arī kāda trešā persona vai trešās personas tieši vai netieši kontrolē abas minētās personas.

5. Darba algu, samaksu un citu līdzīgu atlīdzību, ko saņem Līgumslēdzējas Valsts rezidents par algotu darbu, kas saistīts ar darbību šelfa zonā otrā Līgumslēdzējā Valstī, var aplikt ar nodokļiem šajā otrā valstī tik lielā mērā, cik šis darbs ir ticis veikts šīs otras valsts šelfa zonā. Tomēr šāda atlīdzība tiks aplikta ar nodokļiem tikai pirmajā minētajā valstī, ja algotais darbs ir veikts tāda darba devēja labā, kurš nav otras valsts rezidents, un ja šīs darbības ilgums kopumā nepārsniedz 30 dienas jebkurā divpadsmit mēnešu periodā.

6. Ienākumu, ko Līgumslēdzējas Valsts rezidents gūst, atsavinot:

a) pētīšanas vai izmantošanas tiesības; vai

b) īpašumu, kas izvietots otrā Līgumslēdzējā Valstī un tiek izmantots saistībā ar darbību šelfa zonā šajā otrā valstī; vai

c) akcijas, kuras savu vērtību vai vērtības lielāko daļu tieši vai netieši iegūst no iepriekš minētajām tiesībām vai īpašuma, vai no šīm tiesībām un īpašuma kopā, var aplikt ar nodokļiem šajā otrā valstī.

Šajā daļā termins "pētīšanas vai izmantošanas tiesības" nozīmē tiesības uz īpašumu, kas var tikt radīts, veicot darbību otras Līgumslēdzējas Valsts šelfa zonā, vai tiesības uz līdzdalību īpašumā vai peļņā, ko var gūt šis īpašums.

22. pants

Citi ienākumi

1. Citi šīs Konvencijas iepriekšējos pantos neminētie Līgumslēdzējas Valsts rezidenta ienākuma veidi neatkarīgi no to rašanās vietas tiks aplikti ar nodokļiem tikai šajā valstī.

2. 1.daļas noteikumi netiks piemēroti ienākumam, kas nav ienākums no 6.panta 2.daļā definētā nekustamā īpašuma, ja šī ienākuma saņēmējs, kurš ir Līgumslēdzējas Valsts rezidents, veic uzņēmējdarbību otrā Līgumslēdzējā Valstī, izmantojot tur esošo pastāvīgo pārstāvniecību, vai sniedz neatkarīgus individuālos pakalpojumus šajā otrā valstī, izmantojot tur izvietoto pastāvīgo bāzi, un ja tiesības vai īpašums, par ko tiek saņemts šis ienākums, ir faktiski saistīts ar šo pastāvīgo pārstāvniecību vai pastāvīgo bāzi. Šajā gadījumā atkarībā no apstākļiem piemēro šīs Konvencijas 7. vai 14.panta noteikumus.

23.pants

Kapitāls

1. Kapitālu, ko pārstāv 6.pantā minētais Līgumslēdzējas Valsts rezidenta nekustamais īpašums, kas atrodas otrā Līgumslēdzējā Valstī, var aplikt ar nodokļiem šajā otrā valstī.

2. Kapitālu, ko pārstāv kustamais īpašums, kas veido daļu no otrā Līgumslēdzējā Valstī esošās Līgumslēdzējas Valsts uzņēmuma pastāvīgās pārstāvniecības uzņēmējdarbībā izmantojamā īpašuma, vai kapitālu, ko pārstāv kustamais īpašums, kas ir piederīgs Līgumslēdzējas Valsts rezidenta pastāvīgajai bāzei otrā Līgumslēdzējā Valstī, kura tiek izmantota neatkarīgu individuālo pakalpojumu sniegšanai, var aplikt ar nodokļiem šajā otrā valstī.

3. Kapitāls, ko pārstāv jūras vai gaisa transportlīdzekļi, kurus Līgumslēdzējas Valsts uzņēmums izmanto starptautiskajā satiksmē, kā arī kustamais īpašums, kas piederīgs šo jūras vai gaisa transportlīdzekļu izmantošanai, tiks aplikts ar nodokļiem tikai tajā valstī, kur atrodas šī uzņēmuma faktiskās vadības vieta.

4. Visi pārējie Līgumslēdzējas Valsts rezidenta kapitāla elementi tiks aplikti ar nodokļiem tikai šajā valstī.

24.pants

Nodokļu dubultās uzlikšanas novēršana

1. Gruzijas rezidentam nodokļu dubultā uzlikšana tiks novērsta šādi:

a) ja Gruzijas rezidents gūst ienākumu vai tam pieder kapitāls, kurš saskaņā ar šīs Konvencijas noteikumiem var tikt aplikts ar nodokļiem Latvijā, Gruzija atļauj:

(i) samazināt šī rezidenta ienākuma nodokli par nodokļa daļu, kas ir vienāda ar Latvijā samaksāto ienākuma nodokli;

(ii) samazināt šī rezidenta kapitāla nodokli par nodokļa daļu, kas ir vienāda ar Latvijā samaksāto kapitāla nodokli.

Šie samazinājumi tomēr nevienā gadījumā nedrīkst pārsniegt tādu ienākuma nodokļa vai kapitāla nodokļa daļu, kāda ir aprēķināta Gruzijā pirms šī samazinājuma piemērošanas un kura ir attiecināma uz ienākumu vai kapitālu, ko var aplikt ar nodokļiem Latvijā;

b) ja saskaņā ar šīs Konvencijas noteikumiem Gruzijas rezidenta gūtie ienākumi vai viņam piederošais kapitāls ir atbrīvoti no nodokļiem Gruzijā, tad Gruzija, aprēķinot nodokli par šī rezidenta atlikušo ienākumu vai kapitālu, var ņemt vērā no aplikšanas ar nodokli atbrīvoto ienākumu vai kapitālu.

2. Latvijas rezidentam nodokļu dubultā uzlikšana tiks novērsta šādi:

a) ja Latvijas rezidents gūst ienākumu vai tam pieder kapitāls, kurš saskaņā ar šo Konvenciju var tikt aplikts ar nodokļiem Gruzijā, ja vien Latvijas iekšzemes normatīvajos aktos netiek paredzēti labvēlīgāki noteikumi, Latvija atļauj:

(i) samazināt šī rezidenta ienākuma nodokli par nodokļa daļu, kas ir vienāda ar Gruzijā samaksāto ienākuma nodokli;

(ii) samazināt šī rezidenta kapitāla nodokli par nodokļa daļu, kas ir vienāda ar Gruzijā samaksāto kapitāla nodokli.

Šie samazinājumi tomēr nevienā gadījumā nedrīkst pārsniegt tādu ienākuma nodokļa vai kapitāla nodokļa daļu, kāda ir aprēķināta Latvijā pirms šī samazinājuma piemērošanas un kura ir attiecināma uz ienākumu vai kapitālu, ko var aplikt ar nodokļiem Gruzijā;

b) lai piemērotu a) punktu, ja sabiedrība — Latvijas rezidents saņem dividendes no sabiedrības — Gruzijas rezidenta un šajā sabiedrībā Latvijas rezidentam pieder vismaz 10 procentu akciju ar pilnām balsstiesībām, Gruzijā samaksātajā nodoklī tiks ietverts ne tikai nodoklis, ar ko apliek dividendes, bet arī šīm dividendēm atbilstošā nodokļa daļa, ar ko apliek sabiedrības peļņu, no kuras tiek izmaksātas dividendes.

25.pants

Diskriminācijas nepieļaušana

1. Līgumslēdzējas Valsts pilsoņi otrā Līgumslēdzējā Valstī netiks pakļauti jebkāda veida aplikšanai ar nodokļiem vai jebkurām ar tiem saistītām prasībām, kas atšķiras no aplikšanas ar nodokļiem vai ar tiem saistītām prasībām, kurām tiek vai var tikt pakļauti otras valsts pilsoņi tādos pašos apstākļos, it īpaši attiecībā uz rezidenci, vai kuras ir apgrūtinošākas. Šis noteikums neatkarīgi no 1.panta noteikumiem attiecas arī uz personām, kuras nav vienas Līgumslēdzējas Valsts vai abu Līgumslēdzēju Valstu rezidenti.

2. Bezvalstnieki, kas ir Līgumslēdzējas Valsts rezidenti, nevienā no Līgumslēdzējām Valstīm netiks pakļauti aplikšanai ar nodokļiem vai jebkurām ar tiem saistītām prasībām, kas atšķiras no aplikšanas ar nodokļiem vai ar tiem saistītām prasībām, kurām tādos pašos apstākļos, īpaši attiecībā uz rezidenci, tiek vai var tikt pakļauti attiecīgās valsts pilsoņi vai kuras ir apgrūtinošākas.

3. Līgumslēdzējas Valsts uzņēmuma pastāvīgo pārstāvniecību, kuru tas izmanto otrā Līgumslēdzējā Valstī, nevar aplikt ar nodokļiem šajā otrā valstī mazāk labvēlīgi, nekā tiktu aplikti ar nodokļiem otras valsts uzņēmumi, kas veic tāda paša veida darbību. Šo noteikumu nedrīkst iztulkot tādējādi, ka tas uzliktu Līgumslēdzējai Valstij pienākumu piešķirt otras Līgumslēdzējas Valsts rezidentiem jebkādas personiskas atlaides, atvieglojumus un samazinājumus attiecībā uz aplikšanu ar nodokļiem, kādus šī valsts piešķir tās rezidentiem, ņemot vērā viņu civilstāvokli vai ģimenes saistības.

4. Izņemot gadījumus, kad piemērojami 9.panta 1.daļas, 11.panta 7.daļas vai 12.panta 6.daļas noteikumi, procenti, autoratlīdzības un citi maksājumi, ko Līgumslēdzējas Valsts uzņēmums izmaksā otras Līgumslēdzējas Valsts rezidentam, nosakot šī uzņēmuma ar nodokļiem apliekamo peļņu, ir jāatskaita no šīs peļņas pēc tādiem pašiem noteikumiem, kā tad, ja tie tiktu izmaksāti pirmās minētās valsts rezidentam. Tāpat arī Līgumslēdzējas Valsts uzņēmuma parādi otras Līgumslēdzējas Valsts rezidentam, nosakot šāda uzņēmuma apliekamā kapitāla vērtību, ir jāatskaita pēc tādiem pašiem noteikumiem kā tad, ja tie attiektos uz pirmās minētās valsts rezidentu.

5. Līgumslēdzējas Valsts uzņēmumus, kuru kapitāls pilnīgi vai daļēji, tieši vai netieši pieder vienam vai vairākiem otras Līgumslēdzējas Valsts rezidentiem vai kurus viņi tieši vai netieši kontrolē, pirmajā minētajā valstī nevar pakļaut jebkādai aplikšanai ar nodokļiem vai jebkurām ar tiem saistītām prasībām, kas atšķiras no aplikšanas ar nodokļiem un ar tiem saistītām prasībām, kurām tiek vai var tikt pakļauti līdzīgi pirmās minētās valsts uzņēmumi vai kuras ir apgrūtinošākas.

6. Šī panta noteikumi neatkarīgi no 2.panta noteikumiem attiecas uz visu veidu un nosaukumu nodokļiem.

26.pants

Savstarpējās saskaņošanas procedūra

1. Ja persona uzskata, ka vienas Līgumslēdzējas Valsts vai abu Līgumslēdzēju Valstu rīcība izraisa vai var izraisīt tādu šīs personas aplikšanu ar nodokļiem, kas neatbilst šīs Konvencijas noteikumiem, šī persona var neatkarīgi no šo valstu iekšzemes normatīvo aktu noteikumiem, kas paredz novērst šādu aplikšanu ar nodokļiem, iesniegt sūdzību izskatīšanai tās Līgumslēdzējas Valsts kompetentajai iestādei, kuras rezidents ir šī persona, vai arī, ja sūdzība attiecas uz 25.panta 1.daļu, tās Līgumslēdzējas Valsts kompetentajai iestādei, kuras pilsonis ir šī persona. Sūdzību iesniedz izskatīšanai triju gadu laikā pēc pirmā paziņojuma par rīcību, kas izraisījusi šīs Konvencijas noteikumiem neatbilstošu aplikšanu ar nodokļiem.

2. Kompetentās iestādes pienākums ir censties atrisināt šo jautājumu, ja tā uzskata, ka sūdzība ir pamatota, un, ja šī iestāde pati nespēj panākt apmierinošu risinājumu, tai jāmēģina savstarpēji vienoties ar otras Līgumslēdzējas Valsts kompetentajām iestādēm, lai novērstu šai Konvencijai neatbilstošu aplikšanu ar nodokļiem. Jebkura šāda panāktā vienošanās ir jāizpilda neatkarīgi no Līgumslēdzējas Valsts iekšzemes normatīvajos aktos noteiktajiem laika ierobežojumiem.

3. Līgumslēdzēju Valstu kompetentajām iestādēm ir jācenšas savstarpējas vienošanās ceļā atrisināt jebkurus sarežģījumus vai novērst šaubas, kas var rasties, skaidrojot vai piemērojot šo Konvenciju. Tās var arī savstarpēji konsultēties, lai novērstu nodokļu dubulto uzlikšanu šajā Konvencijā neparedzētos gadījumos.

4. Lai panāktu vienošanos iepriekšējās daļās minētajos jautājumos, Līgumslēdzēju Valstu kompetentās iestādes var tieši sazināties viena ar otru, kā arī šāda viedokļu apmaiņa var notikt ar Līgumslēdzēju Valstu kompetento iestāžu pārstāvju komisijas starpniecību.

27.pants

Informācijas apmaiņa

1. Līgumslēdzēju Valstu kompetentajām iestādēm ir jāapmainās ar informāciju, kas nepieciešama šīs Konvencijas noteikumu izpildīšanai vai Līgumslēdzēju Valstu iekšzemes normatīvo aktu prasību izpildei par nodokļiem, uz kuriem attiecas šī Konvencija, tiktāl, ciktāl šie normatīvie akti nav pretrunā ar šo Konvenciju. Konvencijas 1.pants neierobežo informācijas apmaiņu. Jebkura informācija, ko saņem Līgumslēdzēja Valsts, ir jāuzskata par tikpat slepenu kā informācija, kas tiek iegūta saskaņā ar šīs valsts normatīvajiem aktiem, un tā var tikt izpausta tikai tām personām vai varas iestādēm (tajā skaitā tiesas un administratīvām iestādēm), kuras ir iesaistītas nodokļu, uz kuriem attiecas šī Konvencija, aprēķināšanā, iekasēšanā, saukšanā pie juridiskas atbildības, piespiedu līdzekļu piemērošanā vai apelāciju izskatīšanā attiecībā uz šiem nodokļiem. Šīm personām vai varas iestādēm šī informācija jāizmanto vienīgi iepriekšminētajos nolūkos. Tās drīkst izpaust šo informāciju atklātās tiesas sēdēs vai tiesas nolēmumos.

2. 1.daļas noteikumus nedrīkst izskaidrot tādējādi, ka tie uzliktu Līgumslēdzējai Valstij pienākumu:

a) veikt administratīvus pasākumus, kas neatbilst vienas vai otras Līgumslēdzējas Valsts normatīvajiem aktiem un administratīvajai praksei;

b) sniegt informāciju, kas nav pieejama saskaņā ar vienas vai otras Līgumslēdzējas Valsts normatīvajiem aktiem vai parasti piemērojamo administratīvo praksi;

c) sniegt informāciju, kas var atklāt jebkuru tirdzniecības, uzņēmējdarbības, ražošanas, komerciālo vai profesionālo noslēpumu vai tehnoloģijas procesu, vai arī sniegt informāciju, kuras izpaušana būtu pretrunā ar sabiedrības interesēm (ordre public).

28.pants

Diplomātisko un konsulāro pārstāvniecību personāls

Nekas šajā Konvencijā neietekmē diplomātisko misiju vai konsulāro pārstāvniecību personāla fiskālās privilēģijas, kuras tam piešķir starptautisko tiesību vispārīgie noteikumi vai īpašu vienošanos noteikumi.

29.pants

Stāšanās spēkā

1. Līgumslēdzēju Valstu valdības informē viena otru par to, ka ir izpildītas šo valstu konstitucionālās prasības, kas nepieciešamas, lai šī Konvencija stātos spēkā.

2. Šī Konvencija stājas spēkā ar 1.daļā minētā pēdējā paziņojuma datumu, un tās noteikumi abās Līgumslēdzējās Valstīs tiek piemēroti:

a) attiecībā uz nodokļiem, ko ietur ienākuma izmaksas brīdī, sākot ar ienākumu, kas gūts tā kalendārā gada janvāra pirmajā dienā vai pēc tās kalendārajā gadā, kas seko gadam, kurā šī Konvencija stājas spēkā;

b) attiecībā uz pārējiem ienākuma nodokļiem un kapitāla nodokļiem, sākot ar nodokļiem, kas maksājami jebkurā taksācijas gadā, kas sākas tā kalendārā gada janvāra pirmajā dienā vai pēc tās kalendārajā gadā, kas seko gadam, kurā šī Konvencija stājas spēkā.

30.pants

Darbības izbeigšana

Šī Konvencija ir spēkā tik ilgi, kamēr viena Līgumslēdzēja Valsts tās darbību izbeidz. Katra Līgumslēdzēja Valsts var izbeigt šīs Konvencijas darbību, diplomātiskā ceļā iesniedzot rakstisku paziņojumu par izbeigšanu vismaz sešus mēnešus pirms jebkura kalendārā gada beigām. Šajā gadījumā Konvencijas darbība abās Līgumslēdzējās Valstīs tiek izbeigta:

a) attiecībā uz nodokļiem, ko ietur ienākuma izmaksas brīdī, sākot ar ienākumu, kas gūts tā kalendārā gada janvāra pirmajā dienā vai pēc tās kalendārajā gadā, kas seko gadam, kurā ir iesniegts paziņojums par darbības izbeigšanu;

b) attiecībā uz pārējiem ienākuma nodokļiem un kapitāla nodokļiem, sākot ar nodokļiem, kas maksājami jebkurā taksācijas gadā, kas sākas tā kalendārā gada janvāra pirmajā dienā vai pēc tās kalendārajā gadā, kurā ir iesniegts paziņojums par darbības izbeigšanu.

To apliecinot, būdami pienācīgi pilnvaroti, šo Konvenciju ir parakstījuši.

Konvencija sastādīta Rīgā divos eksemplāros 2004.gada 13.oktobrī latviešu, gruzīnu un angļu valodā, turklāt visi trīs teksti ir vienlīdz autentiski. Atšķirīgas interpretācijas gadījumā noteicošais ir teksts angļu valodā.

PROTOKOLS

Latvijas Republika un Gruzija, parakstot Konvenciju par nodokļu dubultās uzlikšanas un nodokļu nemaksāšanas novēršanu attiecībā uz ienākuma un kapitāla nodokļiem, ir vienojušās par tālāk minētiem noteikumiem, kuri ir šīs Konvencijas neatņemama sastāvdaļa.

1. Attiecībā uz šo Konvenciju:

Tiek saprasts, ka termins "uzņēmējdarbības peļņa" ietver arī peļņu no ekonomiskās darbības.

2. Attiecībā uz 3.panta 1.daļas e) punktu:

Tiek saprasts, ka Gruzijas gadījumā termins "sabiedrība" nozīmē arī uzņēmumu, kā tas ir definēts iekšzemes normatīvajos aktos.

3. Attiecībā uz 7.panta 3.daļu:

Tiek saprasts, ka Līgumslēdzējā Valstī atļautie atskaitāmie izdevumi neietvers tos izdevumus, kas nebūtu atskaitāmi, ja pastāvīgā pārstāvniecība būtu šīs Līgumslēdzējas Valsts atsevišķs uzņēmums.

4. Attiecībā uz 8., 13., 15. un 23.pantu

Tiks saprasts, ka 8.panta 1.daļas, 13.panta 3.daļas, 15.panta 3.daļas un 23.panta 3.daļas noteikumi netiks piemēroti, kamēr Latvija savos iekšzemes normatīvajos aktos neieviesīs faktiskās vadības vietu kā kritēriju rezidences noteikšanai, bet to vietā ir piemērojami šādi noteikumi:

8.panta 1.daļa

"Līgumslēdzējas Valsts uzņēmuma peļņa no jūras vai gaisa transportlīdzekļu izmantošanas starptautiskajā satiksmē tiks aplikta ar nodokļiem tikai šajā valstī."

13.panta 3.daļa

" Kapitāla pieaugums, ko Līgumslēdzējas Valsts uzņēmums, kas starptautiskajā satiksmē izmanto jūras vai gaisa transportlīdzekļus, gūst par starptautiskajā satiksmē izmantoto jūras vai gaisa transportlīdzekļu atsavināšanu vai par šo jūras vai gaisa transportlīdzekļu izmantošanai piederīgā kustamā īpašuma atsavināšanu, tiks aplikts ar nodokļiem tikai šajā valstī."

15.panta 3.daļa

"Neatkarīgi no šī panta iepriekšējo daļu noteikumiem, atlīdzību, ko saņem par algotu darbu, kas veikts uz Līgumslēdzējas Valsts uzņēmuma starptautiskajā satiksmē izmantota jūras vai gaisa transportlīdzekļa, var aplikt ar nodokļiem šajā valstī."

23. panta 3. daļa

"Kapitāls, ko pārstāv jūras vai gaisa transportlīdzekļi, kurus Līgumslēdzējas Valsts uzņēmums izmanto starptautiskajā satiksmē, kā arī kustamais īpašums, kas piederīgs šo jūras vai gaisa transportlīdzekļu izmantošanai, tiks aplikts ar nodokļiem tikai šajā valstī."

5. Attiecībā uz 22.pantu

Neatkarīgi no 1.daļas noteikumiem Līgumslēdzējas Valsts rezidenta ienākums, kas gūts kā laimests azartspēlēs otrā Līgumslēdzējā Valstī, var tikt aplikts ar nodokli otrā valstī.

6. Attiecībā uz 23.pantu

Tiek saprasts, ka termins "kapitāls" 23.panta ietvaros nozīmē kustamo un nekustamo īpašumu un tajā var ietilpt arī nauda, akcijas vai citi pierādījumi par īpašuma tiesībām, obligācijas vai citi pierādījumi par parādu saistībām, kā arī patentus, preču zīmes, autortiesības vai citas līdzīgas tiesības vai īpašumu.

To apliecinot, būdami pienācīgi pilnvaroti, šo Protokolu ir parakstījuši.

Protokols sastādīts Rīgā divos eksemplāros 2004.gada 13.oktobrī latviešu, gruzīnu un angļu valodā, turklāt visi trīs teksti ir vienlīdz autentiski. Atšķirīgas interpretācijas gadījumā noteicošais ir teksts angļu valodā.

CONVENTION BETWEEN THE REPUBLIC OF LATVIA AND GEORGIA FOR THE AVOIDANCE OF DOUBLE TAXATION AND THE PREVENTION OF FISCAL EVASION WITH RESPECT TO TAXES ON INCOME AND ON CAPITAL

The Republic of Latvia and Georgia,

Desiring to conclude a Convention for the avoidance of double taxation and the prevention of fiscal evasion with respect to taxes on income and on capital,

Have agreed as follows:

Article 1

PERSONS COVERED

This Convention shall apply to persons who are residents of one or both of the Contracting States.

Article 2

TAXES COVERED

1. This Convention shall apply to taxes on income and on capital imposed on behalf of a Contracting State or of its political subdivisions or local authorities, irrespective of the manner in which they are levied.

2. There shall be regarded as taxes on income and on capital all taxes imposed on total income, on total capital, or on elements of income or of capital, including taxes on gains from the alienation of movable or immovable property, as well as taxes on capital appreciation.

3. The existing taxes to which the Convention shall apply are in particular:

a) in Georgia:

(i) the tax on profit of enterprises;

(ii) the tax on property of enterprises;

(iii) the tax on income of individuals;

(iv) the tax on property of individuals;

(hereinafter referred to as "Georgian tax");

b) in Latvia:

(i) the enterprise income tax (uzņēmumu ienākuma nodoklis);

(ii) the personal income tax (iedzīvotāju ienākuma nodoklis);

(iii) the immovable property tax (nekustamā īpašuma nodoklis);

(hereinafter referred to as "Latvian tax").

4. The Convention shall apply also to any identical or substantially similar taxes which are imposed after the date of signature of the Convention in addition to, or in place of, the existing taxes. The competent authorities of the Contracting States shall notify each other of any significant changes which have been made in their respective taxation laws.

Article 3

GENERAL DEFINITIONS

1. For the purposes of this Convention, unless the context otherwise requires:

a) the term "Georgia" means the territory recognised by the international community within the state borders of Georgia, including land territory, internal waters and territorial sea, the air space above them, in respect of which Georgia exercises its sovereignty, as well as the exclusive economic zone and continental shelf adjacent to its territorial sea, in respect of which Georgia may exercise its sovereign rights in accordance with the international law;

b) the term "Latvia" means the Republic of Latvia and, when used in the geographical sense, means the territory of the Republic of Latvia and any other area adjacent to the territorial waters of the Republic of Latvia within which under the laws of Latvia and in accordance with international law, the rights of Latvia may be exercised with respect to the sea bed and its sub-soil and their natural resources;

c) the terms "a Contracting State" and "the other Contracting State" mean Latvia or Georgia, as the context requires;

d) the term "person" includes an individual, a company and any other body of persons;

e) the term "company" means any body corporate or any entity which is treated as a body corporate for tax purposes;

f) the terms "enterprise of a Contracting State" and "enterprise of the other Contracting State" mean respectively an enterprise carried on by a resident of a Contracting State and an enterprise carried on by a resident of the other Contracting State;

g) the term "international traffic" means any transport by a ship or aircraft operated by an enterprise of a Contracting State, except when the ship or aircraft is operated solely between places in the other Contracting State;

h) the term "competent authority" means:

(i) in Georgia, the Ministry of Finance or its authorised representative;

(ii) in Latvia, the Ministry of Finance or its authorised representative;

i) the term "national" means:

(i) any individual possessing the nationality of a Contracting State;

(ii) any legal person, partnership or association deriving its status as such from the laws in force in a Contracting State.

2. As regards the application of the Convention at any time by a Contracting State, any term not defined therein shall, unless the context otherwise requires, have the meaning that it has at that time under the law of that State for the purposes of the taxes to which the Convention applies, any meaning under the applicable tax laws of that State prevailing over a meaning given to the term under other laws of that State.

Article 4

RESIDENT

1. For the purposes of this Convention, the term "resident of a Contracting State" means any person who, under the laws of that State, is liable to tax therein by reason of his domicile, residence, place of management, place of incorporation or any other criterion of a similar nature, and also includes that State and any political subdivision or local authority thereof. This term, however, does not include any person who is liable to tax in that State in respect only of income from sources in that State or capital situated therein.

2. Where by reason of the provisions of paragraph 1 an individual is a resident of both Contracting States, then his status shall be determined as follows:

a) he shall be deemed to be a resident only of the State in which he has a permanent home available to him; if he has a permanent home available to him in both States, he shall be deemed to be a resident only of the State with which his personal and economic relations are closer (centre of vital interests);

b) if the State in which he has his centre of vital interests cannot be determined, or if he has not a permanent home available to him in either State, he shall be deemed to be a resident only of the State in which he has an habitual abode;

c) if he has an habitual abode in both States or in neither of them, he shall be deemed to be a resident only of the State of which he is a national;

d) if he is a national of both States or of neither of them, the competent authorities of the Contracting States shall settle the question by mutual agreement.

3. Where by reason of the provisions of paragraph 1 a person other than an individual is a resident of both Contracting States, the competent authorities of the Contracting States shall endeavour to settle the question by mutual agreement. Until such agreement has not been reached, for the purposes of the Convention, the person shall not be entitled to claim any benefits provided by this Convention.

Article 5

PERMANENT ESTABLISHMENT

1. For the purposes of this Convention, the term "permanent establishment" means a fixed place of business through which the business of an enterprise is wholly or partly carried on.

2. The term "permanent establishment" includes especially:

a) a place of management;

b) a branch;

c) an office;

d) a factory;

e) a workshop, and

f) a mine, an oil or gas well, a quarry or any other place of extraction of natural resources.

3. A building site or construction or installation project constitutes a permanent establishment only if it lasts more than six months.

4. Notwithstanding the preceding provisions of this Article, the term "permanent establishment" shall be deemed not to include:

a) the use of facilities solely for the purpose of storage, display or delivery of goods or merchandise belonging to the enterprise;

b) the maintenance of a stock of goods or merchandise belonging to the enterprise solely for the purpose of storage, display or delivery;

c) the maintenance of a stock of goods or merchandise belonging to the enterprise solely for the purpose of processing by another enterprise;

d) the maintenance of a fixed place of business solely for the purpose of purchasing goods or merchandise or of collecting information, for the enterprise;

e) the maintenance of a fixed place of business solely for the purpose of carrying on, for the enterprise, any other activity of a preparatory or auxiliary character;

f) the maintenance of a fixed place of business solely for any combination of activities mentioned in sub-paragraphs a) to e), provided that the overall activity of the fixed place of business resulting from this combination is of a preparatory or auxiliary character.

5. Notwithstanding the provisions of paragraphs 1 and 2, where a person — other than an agent of an independent status to whom paragraph 6 applies — is acting on behalf of an enterprise and has, and habitually exercises, in a Contracting State an authority to conclude contracts in the name of the enterprise, that enterprise shall be deemed to have a permanent establishment in that State in respect of any activities which that person undertakes for the enterprise, unless the activities of such person are limited to those mentioned in paragraph 4 which, if exercised through a fixed place of business, would not make this fixed place of business a permanent establishment under the provisions of that paragraph.

6. An enterprise shall not be deemed to have a permanent establishment in a Contracting State merely because it carries on business in that State through a broker, general commission agent or any other agent of an independent status, provided that such persons are acting in the ordinary course of their business.

7. The fact that a company which is a resident of a Contracting State controls or is controlled by a company which is a resident of the other Contracting State, or which carries on business in that other State (whether through a permanent establishment or otherwise), shall not of itself constitute either company a permanent establishment of the other.

Article 6

INCOME FROM IMMOVABLE PROPERTY

1. Income derived by a resident of a Contracting State from immovable property (including income from agriculture or forestry) situated in the other Contracting State may be taxed in that other State.

2. The term "immovable property" shall have the meaning which it has under the law of the Contracting State in which the property in question is situated. The term shall in any case include property accessory to immovable property, livestock and equipment used in agriculture and forestry, rights to which the provisions of general law respecting landed property apply, any option or similar right to acquire immovable property, usufruct of immovable property and rights to variable or fixed payments as consideration for the working of, or the right to work, mineral deposits, sources and other natural resources. Ships and aircraft shall not be regarded as immovable property.

3. The provisions of paragraph 1 shall apply to income derived from the direct use, letting, or use in any other form of immovable property, as well as income from the alienation of immovable property.

4. Where the ownership of shares or other corporate rights in a company entitles the owner of such shares or corporate rights to the enjoyment of immovable property held by the company, the income from the direct use, letting, or use in any other form of such right to enjoyment may be taxed in the Contracting State in which the immovable property is situated.

5. The provisions of paragraphs 1, 3 and 4 shall also apply to the income from immovable property of an enterprise and to income from immovable property used for the performance of independent personal services.

Article 7

BUSINESS PROFITS

1. The profits of an enterprise of a Contracting State shall be taxable only in that State unless the enterprise carries on business in the other Contracting State through a permanent establishment situated therein. If the enterprise carries on business as aforesaid, the profits of the enterprise may be taxed in the other State but only so much of them as is attributable to that permanent establishment.

2. Subject to the provisions of paragraph 3, where an enterprise of a Contracting State carries on business in the other Contracting State through a permanent establishment situated therein, there shall in each Contracting State be attributed to that permanent establishment the profits which it might be expected to make if it were a distinct and separate enterprise engaged in the same or similar activities under the same or similar conditions and dealing wholly independently with the enterprise of which it is a permanent establishment.

3. In determining the profits of a permanent establishment in a Contracting State, there shall be allowed as deductions expenses which are incurred for the purposes of the permanent establishment, including executive and general administrative expenses so incurred, whether in the State in which the permanent establishment is situated or elsewhere.

4. No profits shall be attributed to a permanent establishment by reason of the mere purchase by that permanent establishment of goods or merchandise for the enterprise.

5. For the purposes of the preceding paragraphs, the profits to be attributed to the permanent establishment shall be determined by the same method year by year unless there is good and sufficient reason to the contrary.

6. Where profits include items of income which are dealt with separately in other Articles of this Convention, then the provisions of those Articles shall not be affected by the provisions of this Article.

Article 8

SHIPPING AND AIR TRANSPORT

1. Profits from the operation of ships or aircraft in international traffic shall be taxable only in the Contracting State in which the place of effective management of the enterprise is situated.

2. The provisions of paragraph 1 shall also apply to profits from the participation in a pool, a joint business or an international operating agency.

Article 9

ASSOCIATED ENTERPRISES

1. Where

a) an enterprise of a Contracting State participates directly or indirectly in the management, control or capital of an enterprise of the other Contracting State, or

b) the same persons participate directly or indirectly in the management, control or capital of an enterprise of a Contracting State and an enterprise of the other Contracting State,

and in either case conditions are made or imposed between the two enterprises in their commercial or financial relations which differ from those which would be made between independent enterprises, then any profits which would, but for those conditions, have accrued to one of the enterprises, but, by reason of those conditions, have not so accrued, may be included in the profits of that enterprise and taxed accordingly.

2. Where a Contracting State includes in the profits of an enterprise of that State — and taxes accordingly — profits on which an enterprise of the other Contracting State has been charged to tax in that other State and the profits so included are profits which would have accrued to the enterprise of the first-mentioned State if the conditions made between the two enterprises had been those which would have been made between independent enterprises, then that other State shall make an appropriate adjustment to the amount of the tax charged therein on those profits. In determining such adjustment, due regard shall be had to the other provisions of this Convention and the competent authorities of the Contracting States shall if necessary consult each other.

Article 10

DIVIDENDS

1. Dividends paid by a company which is a resident of a Contracting State to a resident of the other Contracting State may be taxed in that other State.

2. However, such dividends may also be taxed in the Contracting State of which the company paying the dividends is a resident and according to the laws of that State, but if the beneficial owner of the dividends is a resident of the other Contracting State, the tax so charged shall not exceed:

a) 5 per cent of the gross amount of the dividends if the beneficial owner is a company (other than a partnership) which holds directly at least 25 per cent of the capital of the company paying the dividends and the value of this investment is not less than seventy five thousand United States dollars (75000 USD);

b) 10 per cent of the gross amount of the dividends in all other cases.

3. The term "dividends" as used in this Article means income from shares or other rights, not being debt-claims, participating in profits, as well as income from other rights which is subjected to the same taxation treatment as income from shares by the laws of the State of which the company making the distribution is a resident.

4. The provisions of paragraphs 1 and 2 shall not apply if the beneficial owner of the dividends, being a resident of a Contracting State, carries on business in the other Contracting State of which the company paying the dividends is a resident, through a permanent establishment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the holding in respect of which the dividends are paid is effectively connected with such permanent establishment or fixed base. In such case the provisions of Article 7 or Article 14, as the case may be, shall apply.

5. Where a company which is a resident of a Contracting State derives profits or income from the other Contracting State, that other State may not impose any tax on the dividends paid by the company, except insofar as such dividends are paid to a resident of that other State or insofar as the holding in respect of which the dividends are paid is effectively connected with a permanent establishment or a fixed base situated in that other State, nor subject the company's undistributed profits to a tax on the company's undistributed profits, even if the dividends paid or the undistributed profits consist wholly or partly of profits or income arising in such other State.

Article 11

INTEREST

1. Interest arising in a Contracting State and paid to a resident of the other Contracting State may be taxed in that other State.

2. However, such interest may also be taxed in the Contracting State in which it arises and according to the laws of that State, but if the beneficial owner of the interest is a resident of the other Contracting State, the tax so charged shall not exceed 10 per cent of the gross amount of the interest.

3. Notwithstanding the provisions of paragraph 2 interest arising in a Contracting State, derived and beneficially owned by the Government of the other Contracting State, including its political subdivisions and local authorities, the Central Bank or any financial institution wholly owned by that Government, or interest derived on loans guaranteed by that Government shall be exempt from tax in the first-mentioned State.

4. The term "interest" as used in this Article means income from debt-claims of every kind, whether or not secured by mortgage and whether or not carrying a right to participate in the debtor's profits, and in particular, income from government securities and income from bonds or debentures, including premiums and prizes attaching to such securities, bonds or debentures. The term "interest" shall not include any income which is treated as a dividend under the provisions of Article 10. Penalty charges for late payment shall not be regarded as interest for the purpose of this Article.

5. The provisions of paragraphs 1, 2 and 3 shall not apply if the beneficial owner of the interest, being a resident of a Contracting State, carries on business in the other Contracting State in which the interest arises, through a permanent establishment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the debt-claim in respect of which the interest is paid is effectively connected with such permanent establishment or fixed base. In such case the provisions of Article 7 or Article 14, as the case may be, shall apply.

6. Interest shall be deemed to arise in a Contracting State when the payer is a resident of that State. Where, however, the person paying the interest, whether he is a resident of a Contracting State or not, has in a Contracting State a permanent establishment or a fixed base in connection with which the indebtedness on which the interest is paid was incurred, and such interest is borne by such permanent establishment or fixed base, then such interest shall be deemed to arise in the State in which the permanent establishment or fixed base is situated.

7. Where, by reason of a special relationship between the payer and the beneficial owner or between both of them and some other person, the amount of the interest, having regard to the debt-claim for which it is paid, exceeds the amount which would have been agreed upon by the payer and the beneficial owner in the absence of such relationship, the provisions of this Article shall apply only to the last-mentioned amount. In such case, the excess part of the payments shall remain taxable according to the laws of each Contracting State, due regard being had to the other provisions of this Convention.

Article 12

ROYALTIES

1. Royalties arising in a Contracting State and paid to a resident of the other Contracting State may be taxed in that other State.

2. However, such royalties may also be taxed in the Contracting State in which they arise and according to the laws of that State, but if the beneficial owner of the royalties is a resident of the other Contracting State, the tax so charged shall not exceed 10 per cent of the gross amount of the royalties.

3. The term "royalties" as used in this Article means payments of any kind received as a consideration for the use of, or the right to use, any copyright of literary, artistic or scientific work including cinematograph films and films or tapes for radio or television broad-casting, any patent, trade mark, design or model, plan, secret formula or process, or for the use of, or the right to use, industrial, commercial or scientific equipment, or for information concerning industrial, commercial or scientific experience.

4. The provisions of paragraphs 1 and 2 shall not apply if the beneficial owner of the royalties, being a resident of a Contracting State, carries on business in the other Contracting State in which the royalties arise, through a permanent establishment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the right or property in respect of which the royalties are paid is effectively connected with such permanent establishment or fixed base. In such case the provisions of Article 7 or Article 14, as the case may be, shall apply.

5. Royalties shall be deemed to arise in a Contracting State when the payer is a resident of that State. Where, however, the person paying the royalties, whether he is a resident of a Contracting State or not, has in a Contracting State a permanent establishment or a fixed base in connection with which the liability to pay the royalties was incurred, and such royalties are borne by such permanent establishment or fixed base, then such royalties shall be deemed to arise in the State in which the permanent establishment or fixed base is situated.

6. Where, by reason of a special relationship between the payer and the beneficial owner or between both of them and some other person, the amount of the royalties, having regard to the use, right or information for which they are paid, exceeds the amount which would have been agreed upon by the payer and the beneficial owner in the absence of such relationship, the provisions of this Article shall apply only to the last-mentioned amount. In such case, the excess part of the payments shall remain taxable according to the laws of each Contracting State, due regard being had to the other provisions of this Convention.

Article 13

CAPITAL GAINS

1. Gains derived by a resident of a Contracting State from the alienation of immovable property referred to in Article 6 and situated in the other Contracting State or shares in a company the assets of which consist mainly of such property may be taxed in that other State.

2. Gains from the alienation of movable property forming part of the business property of a permanent establishment which an enterprise of a Contracting State has in the other Contracting State or of movable property pertaining to a fixed base available to a resident of a Contracting State in the other Contracting State for the purpose of performing independent personal services, including such gains from the alienation of such a permanent establishment (alone or with the whole enterprise) or of such fixed base, may be taxed in that other State.

3. Gains from the alienation of ships or aircraft operated in international traffic or movable property pertaining to the operation of such ships or aircraft, shall be taxable only in the Contracting State in which the place of effective management of the enterprise is situated.

4. Gains from the alienation of any property other than that referred to in paragraphs 1, 2 and 3, shall be taxable only in the Contracting State of which the alienator is a resident.

Article 14

INDEPENDENT PERSONAL SERVICES

1. Income derived by an individual who is a resident of a Contracting State in respect of professional services or other activities of an independent character shall be taxable only in that State unless he has a fixed base regularly available to him in the other Contracting State for the purpose of performing his activities. If he has such a fixed base, the income may be taxed in the other State but only so much of it as is attributable to that fixed base. For this purpose, where an individual who is a resident of a Contracting State stays in the other Contracting State for a period or periods exceeding in the aggregate 183 days in any twelve month period commencing or ending in the fiscal year concerned, he shall be deemed to have a fixed base regularly available to him in that other State and the income that is derived from his activities referred to above that are performed in that other State shall be attributable to that fixed base.

2. The term "professional services" includes especially independent scientific, literary, artistic, educational or teaching activities as well as the independent activities of physicians, lawyers, engineers, architects, dentists and accountants.

Article 15

DEPENDENT PERSONAL SERVICES

1. Subject to the provisions of Articles 16, 18 and 19, salaries, wages and other similar remuneration derived by a resident of a Contracting State in respect of an employment shall be taxable only in that State unless the employment is exercised in the other Contracting State. If the employment is so exercised, such remuneration as is derived therefrom may be taxed in that other State.

2. Notwithstanding the provisions of paragraph 1, remuneration derived by a resident of a Contracting State in respect of an employment exercised in the other Contracting State shall be taxable only in the first-mentioned State if:

a) the recipient is present in the other State for a period or periods not exceeding in the aggregate 183 days in any twelve month period commencing or ending in the fiscal year concerned, and

b) the remuneration is paid by, or on behalf of, an employer who is not a resident of the other State, and

c) the remuneration is not borne by a permanent establishment or a fixed base which the employer has in the other State.

3. Notwithstanding the preceding provisions of this Article, remuneration derived in respect of an employment exercised aboard a ship or aircraft operated in international traffic, may be taxed in the Contracting State in which the place of effective management of the enterprise is situated.

Article 16

DIRECTORS' FEES

Directors' fees and other similar remuneration derived by a resident of a Contracting State in his capacity as a member of the board of directors or any other similar organ of a company which is a resident of the other Contracting State may be taxed in that other State.

Article 17

ARTISTES AND SPORTSMEN

1. Notwithstanding the provisions of Articles 14 and 15, income derived by a resident of a Contracting State as an entertainer, such as a theatre, motion picture, radio or television artiste, or a musician, or as a sportsman, from his personal activities as such exercised in the other Contracting State, may be taxed in that other State.

2. Where income in respect of personal activities exercised by an entertainer or a sportsman in his capacity as such accrues not to the entertainer or sportsman himself but to another person, that income may, notwithstanding the provisions of Articles 7, 14 and 15, be taxed in the Contracting State in which the activities of the entertainer or sportsman are exercised.

Article 18

PENSIONS

Subject to the provisions of paragraph 2 of Article 19, pensions and other similar remuneration paid to a resident of a Contracting State in consideration of past employment shall be taxable only in that State.

Article 19

GOVERNMENT SERVICE

1. a) Salaries, wages and other similar remuneration, other than a pension, paid by a Contracting State or a political subdivision or a local authority thereof to an individual in respect of services rendered to that State or subdivision or authority shall be taxable only in that State.

b) However, such salaries, wages and other similar remuneration shall be taxable only in the other Contracting State if the services are rendered in that State and the individual is a resident of that State who:

(i) is a national of that State; or

(ii) did not become a resident of that State solely for the purpose of rendering the services.

2. a) Any pension paid by, or out of funds created by, a Contracting State or a political subdivision or a local authority thereof to an individual in respect of services rendered to that State or subdivision or authority shall be taxable only in that State.

b) However, such pension shall be taxable only in the other Contracting State if the individual is a resident of, and a national of, that State.

3. The provisions of Articles 15, 16, 17, and 18 shall apply to salaries, wages and other similar remuneration, and to pensions, in respect of services rendered in connection with a business carried on by a Contracting State or a political subdivision or a local authority thereof.

Article 20

STUDENTS

Payments which a student, an apprentice or a trainee who is or was immediately before visiting a Contracting State a resident of the other Contracting State and who is present in the first-mentioned State solely for the purpose of his education or training receives for the purpose of his maintenance, education or training shall not be taxed in that State, provided that such payments arise from sources outside that State.

Article 21

OFFSHORE ACTIVITIES

1. The provisions of this Article shall apply notwithstanding the provisions of Articles 4 to 20 of this Convention.

2. For the purposes of this Article, the term "offshore activities" means activities carried on offshore in a Contracting State in connection with the exploration or exploitation of the sea bed and sub-soil and their natural resources situated in that State.

3. A person who is a resident of a Contracting State and carries on offshore activities in the other Contracting State shall, subject to paragraph 4, be deemed to be carrying on business in that other State through a permanent establishment or a fixed base situated therein.

4. The provisions of paragraph 3 shall not apply where the offshore activities are carried on for a period or periods not exceeding in the aggregate 30 days in any twelve month period. For the purposes of this paragraph:

a) offshore activities carried on by a person who is associated with another person shall be deemed to be carried on by the other person if the activities in question are substantially the same as those carried on by the first-mentioned person, except to the extent that those activities are carried on at the same time as its own activities;

b) a person shall be deemed to be associated with another person if one is controlled directly or indirectly by the other, or both are controlled directly or indirectly by a third person or third persons.

5. Salaries, wages and other similar remuneration derived by a resident of a Contracting State in respect of an employment connected with offshore activities in the other Contracting State may, to the extent that the duties are performed offshore in that other State, be taxed in that other State. However, such remuneration shall be taxable only in the first-mentioned State if the employment is carried on for an employer who is not a resident of the other State and for a period or periods not exceeding in the aggregate 30 days in any twelve month period.

6. Gains derived by a resident of a Contracting State from the alienation of:

a) exploration or exploitation rights; or

b) property situated in the other Contracting State which is used in connection with the offshore activities carried on in that other State; or

c) shares deriving their value or the greater part of their value directly or indirectly from such rights or such property or from such rights and such property taken together;

may be taxed in that other State.

In this paragraph the term "exploration or exploitation rights" means rights to assets to be produced by offshore activities carried on in the other Contracting State, or to interests in or to the benefit of such assets.

Article 22

OTHER INCOME

1. Items of income of a resident of a Contracting State, wherever arising, not dealt with in the foregoing Articles of this Convention shall be taxable only in that State.

2. The provisions of paragraph 1 shall not apply to income, other than income from immovable property as defined in paragraph 2 of Article 6, if the recipient of such income, being a resident of a Contracting State, carries on business in the other Contracting State through a permanent establishment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the right or property in respect of which the income is paid is effectively connected with such permanent establishment or fixed base. In such case the provisions of Article 7 or Article 14, as the case may be, shall apply.

Article 23

CAPITAL

1. Capital represented by immovable property referred to in Article 6, owned by a resident of a Contracting State and situated in the other Contracting State, may be taxed in that other State.

2. Capital represented by movable property forming part of the business property of a permanent establishment which an enterprise of a Contracting State has in the other Contracting State or by movable property pertaining to a fixed base available to a resident of a Contracting State in the other Contracting State for the purpose of performing independent personal services, may be taxed in that other State.

3. Capital represented by ships and aircraft operated in international traffic and by movable property pertaining to the operation of such ships or aircraft, shall be taxable only in the Contracting State in which the place of effective management of the enterprise is situated.

4. All other elements of capital of a resident of a Contracting State shall be taxable only in that State.

Article 24

ELIMINATION OF DOUBLE TAXATION

1. In the case of a resident of Georgia, double taxation shall be avoided as follows:

a) Where a resident of Georgia derives income or owns capital which, in accordance with the provisions of this Convention, may be taxed in Latvia, Georgia shall allow:

(i) as a deduction from the tax on the income of that resident, an amount equal to the income tax paid in Latvia;

(ii) as a deduction from the tax on the capital of that resident, an amount equal to the capital tax paid in Latvia.

Such deduction in either case shall not, however, exceed that part of the income tax or capital tax in Georgia, as computed before the deduction is given, which is attributable, as the case may be, to the income or the capital which may be taxed in Latvia.

b) Where in accordance with any provision of the Convention income derived or capital owned by a resident of Georgia is exempt from tax in Georgia, Georgia may nevertheless, in calculating the amount of tax on the remaining income or capital of such resident, take into account the exempted income or capital.

2. In the case of a resident of Latvia, double taxation shall be avoided as follows:

a) Where a resident of Latvia derives income or owns capital which, in accordance with this Convention, may be taxed in Georgia, unless a more favourable treatment is provided in its domestic law, Latvia shall allow:

(i) as a deduction from the tax on the income of that resident, an amount equal to the income tax paid thereon in Georgia;

(ii) as a deduction from the tax on the capital of that resident, an amount equal to the capital tax paid thereon in Georgia.

Such deduction in either case shall not, however, exceed that part of the income tax or capital tax in Latvia, as computed before the deduction is given, which is attributable, as the case may be, to the income or the capital which may be taxed in Georgia.

b) For the purposes of sub-paragraph a), where a company that is a resident of Latvia receives a dividend from a company that is a resident of Georgia in which it owns at least 10 per cent of its shares having full voting rights, the tax paid in Georgia shall include not only the tax paid on the dividend, but also the appropriate portion of the tax paid on the underlying profits of the company out of which the dividend was paid.

Article 25

NON-DISCRIMINATION

1. Nationals of a Contracting State shall not be subjected in the other Contracting State to any taxation or any requirement connected therewith, which is other or more burdensome than the taxation and connected requirements to which nationals of that other State in the same circumstances, in particular with respect to residence, are or may be subjected. This provision shall, notwithstanding the provisions of Article 1, also apply to persons who are not residents of one or both of the Contracting States.

2. Stateless persons who are residents of a Contracting State shall not be subjected in either Contracting State to any taxation or any requirement connected therewith, which is other or more burdensome than the taxation and connected requirements to which nationals of the State concerned in the same circumstances, in particular with respect to residence, are or may be subjected.

3. The taxation on a permanent establishment which an enterprise of a Contracting State has in the other Contracting State shall not be less favourably levied in that other State than the taxation levied on enterprises of that other State carrying on the same activities. This provision shall not be construed as obliging a Contracting State to grant to residents of the other Contracting State any personal allowances, reliefs and reductions for taxation purposes on account of civil status or family responsibilities which it grants to its own residents.

4. Except where the provisions of paragraph 1 of Article 9, paragraph 7 of Article 11, or paragraph 6 of Article 12, apply, interest, royalties and other disbursements paid by an enterprise of a Contracting State to a resident of the other Contracting State shall, for the purpose of determining the taxable profits of such enterprise, be deductible under the same conditions as if they had been paid to a resident of the first-mentioned State. Similarly, any debts of an enterprise of a Contracting State to a resident of the other Contracting State shall, for the purpose of determining the taxable capital of such enterprise, be deductible under the same conditions as if they had been contracted to a resident of the first-mentioned State.

5. Enterprises of a Contracting State, the capital of which is wholly or partly owned or controlled, directly or indirectly, by one or more residents of the other Contracting State, shall not be subjected in the first-mentioned State to any taxation or any requirement connected therewith which is other or more burdensome than the taxation and connected requirements to which other similar enterprises of the first-mentioned State are or may be subjected.

6. The provisions of this Article shall, not­withstanding the provisions of Article 2, apply to taxes of every kind and description.

Article 26

MUTUAL AGREEMENT PROCEDURE

1. Where a person considers that the actions of one or both of the Contracting States result or will result for him in taxation not in accordance with the provisions of this Convention, he may, irrespective of the remedies provided by the domestic law of those States, present his case to the competent authority of the Contracting State of which he is a resident or, if his case comes under paragraph 1 of Article 25, to that of the Contracting State of which he is a national. The case must be presented within three years from the first notification of the action resulting in taxation not in accordance with the provisions of the Convention.

2. The competent authority shall endeavour, if the objection appears to it to be justified and if it is not itself able to arrive at a satisfactory solution, to resolve the case by mutual agreement with the competent authority of the other Contracting State, with a view to the avoidance of taxation which is not in accordance with the Convention. Any agreement reached shall be implemented notwithstanding any time limits in the domestic law of the Contracting States.

3. The competent authorities of the Contracting States shall endeavour to resolve by mutual agreement any difficulties or doubts arising as to the interpretation or application of the Convention. They may also consult together for the elimination of double taxation in cases not provided for in the Convention.

4. The competent authorities of the Contracting States may communicate with each other directly, including through a joint commission consisting of themselves or their representatives, for the purpose of reaching an agreement in the sense of the preceding paragraphs.

Article 27

EXCHANGE OF INFORMATION

1. The competent authorities of the Contracting States shall exchange such information as is necessary for carrying out the provisions of this Convention or of the domestic laws of the Contracting States concerning taxes covered by the Convention insofar as the taxation thereunder is not contrary to the Convention. The exchange of information is not restricted by Article 1. Any information received by a Contracting State shall be treated as secret in the same manner as information obtained under the domestic laws of that State and shall be disclosed only to persons or authorities (including courts and administrative bodies) concerned with the assessment or collection of, the enforcement or prosecution in respect of, or the determination of appeals in relation to, the taxes covered by the Convention. Such persons or authorities shall use the information only for such purposes. They may disclose the information in public court proceedings or in judicial decisions.

2. In no case shall the provisions of paragraph 1 be construed so as to impose on a Contracting State the obligation:

a) to carry out administrative measures at variance with the laws and administrative practice of that or of the other Contracting State;

b) to supply information which is not obtainable under the laws or in the normal course of the administration of that or of the other Contracting State;

c) to supply information which would disclose any trade, business, industrial, commercial or professional secret or trade process, or information, the disclosure of which would be contrary to public policy (ordre public).

Article 28

MEMBERS OF DIPLOMATIC MISSIONS AND CONSULAR POSTS

Nothing in this Convention shall affect the fiscal privileges of members of diplomatic missions or consular posts under the general rules of international law or under the provisions of special agreements.

Article 29

ENTRY INTO FORCE

1. The Governments of the Contracting States shall notify each other when the constitutional requirements for the entry into force of this Convention have been complied with.

2. The Convention shall enter into force on the date of the later of the notifications referred to in paragraph 1 and its provisions shall have effect in both Contracting States:

a) in respect of taxes withheld at source, on income derived on or after the first day of January in the calendar year next following the year in which the Convention enters into force;

b) in respect of other taxes on income and taxes on capital, for taxes chargeable for any fiscal year beginning on or after the first day of January in the calendar year next following the year in which the Convention enters into force.

Article 30

TERMINATION

This Convention shall remain in force until terminated by a Contracting State. Either Contracting State may terminate the Convention, through diplomatic channels, by giving written notice of termination at least six months before the end of any calendar year. In such event, the Convention shall cease to have effect in both Contracting States:

a) in respect of taxes withheld at source, on income derived on or after the first day of January in the calendar year next following the year in which the notice has been given;

b) in respect of other taxes on income and taxes on capital, for taxes chargeable for any fiscal year beginning on or after the first day of January in the calendar year next following the year in which the notice has been given.

In witness whereof, the undersigned, duly authorised thereto, have signed this Convention.

Done in duplicate at Riga this 13th day of October 2004, in the Latvian, Georgian and English languages, all three texts being equally authentic. In the case of divergence of interpretation the English text shall prevail.

PROTOCOL

At the signing of the Convention between the Republic of Latvia and Georgia for the avoidance of double taxation and the prevention of fiscal evasion with respect to taxes on income and on capital the undersigned have agreed upon the following provisions which form an integral part of the Convention:

1. With reference to the provisions of the Convention

Where the term "business profits" appears it is understood that this term also includes profits from economic activity.

2. With reference to sub-paragraph e) of paragraph 1 of Article 3

It is understood that the term "company", in the case of Georgia, also includes an enterprise as defined under its domestic law.

3. With reference to paragraph 3 of Article 7

It is understood that the expenses to be allowed as deductions in a Contracting State shall not include the expenses which would not be deductible if a permanent establishment were a separate enterprise of that Contracting State.

4. With reference to Article 8, Article 13, Article 15, Article 23

It is understood that the provisions of paragraph 1 of Article 8, paragraph 3 of Article 13, paragraph 3 of Article 15 and paragraph 3 of Article 23 are not applicable until Latvia has not introduced in its domestic legislation the place of effective management as a criteria for the determination of residence, but the following provisions are applicable instead:

Article 8, paragraph 1

"Profits of an enterprise of a Contracting State from the operation of ships or aircraft in international traffic shall be taxable only in that State."

Article 13, paragraph 3

"Gains derived by an enterprise of a Contracting State operating ships or aircraft in international traffic from the alienation of ships or aircraft operated in international traffic or movable property pertaining to the operation of such ships or aircraft, shall be taxable only in that State."

Article 15, paragraph 3

"Notwithstanding the preceding provisions of this Article, remuneration derived in respect of an employment exercised aboard a ship or aircraft operated in international traffic by an enterprise of a Contracting State may be taxed in that State."

Article 23, paragraph 3

"Capital represented by ships and aircraft operated in international traffic by an enterprise of a Contracting State and by movable property pertaining to the operation of such ships and aircraft, shall be taxable only in that State."

5. With reference to Article 22

Notwithstanding the provisions of paragraph 1, income of a resident of a Contracting State in the form of winnings from gaming, arising in the other Contracting State, may also be taxed in that other State.

6. With reference to Article 23

It is understood that the term "capital" for purposes of Article 23 means movable and immovable property, and may include cash, stock or other evidence of ownership rights, bonds or other evidences of indebtedness, and patents, trade marks, copyrights or other like rights or property.
